Welcome to The Society for People Analytics ("SPA," "we," "us," or "our"), a 501(c)(3) nonprofit organization. These Terms of Service ("Terms") govern your access to and use of societyforpeopleanalytics.org and any related subdomains, applications, and services (collectively, the "Services"), including SPA membership, donations, events, newsletters, mentoring programs, community platforms, and content.
Please read these Terms carefully. By accessing the Site, registering as a member, registering for an event, donating, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
1. Eligibility
The Services are intended for users who are at least 16 years old. By using the Services, you represent that you meet this age requirement and that any information you provide is accurate, current, and complete. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Membership
2.1 Joining SPA
Membership is open to individuals interested in the people analytics field, subject to any additional eligibility criteria SPA publishes from time to time. SPA reserves the right to approve, deny, suspend, or revoke membership at its sole discretion, consistent with applicable law.
2.2 Dues
Membership may require payment of dues. Current dues amounts, billing frequency, and benefits are described on the Site. Unless stated otherwise, dues are billed in advance and are non-refundable except as required by law or as expressly stated at the point of purchase.
2.3 Account Responsibility
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access or use. We are not liable for losses caused by unauthorized account use that results from your failure to safeguard your credentials.
2.4 Termination of Membership
You may cancel your membership at any time by following the instructions in your account or by contacting us. SPA may suspend or terminate your membership for any violation of these Terms, our Code of Conduct, or applicable law, or for conduct we determine in good faith is harmful to the SPA community.
3. Donations
SPA is a 501(c)(3) nonprofit organization, and donations may be tax-deductible to the extent permitted by U.S. law. SPA does not provide tax advice; please consult your own advisor. Donations are processed by third-party payment providers and are subject to those providers' terms. Unless otherwise noted at the point of donation, contributions are voluntary, non-refundable, and used to support SPA's charitable mission. Refund requests may be submitted within 30 days of a donation and will be considered on a case-by-case basis.
4. Events and Programs
SPA hosts and co-hosts conferences, meet-ups, webinars, mentoring programs, and other events. Specific events may have additional terms, including registration fees, cancellation policies, and codes of conduct, which are incorporated into these Terms when you register. Unless otherwise stated:
Event fees are non-refundable within 14 days of the event.
SPA may modify event format, location, speakers, or content.
SPA may record events; by attending, you consent to being recorded and to the use of your likeness in SPA promotional and educational materials, unless you opt out in writing in advance.
Attendees must comply with the Code of Conduct (Section 7).
5. Newsletter and Communications
If you subscribe to our newsletter, register as a member, or register for an event, you agree to receive transactional and program-related emails from SPA. You may opt out of marketing emails at any time using the unsubscribe link or by contacting us. We will continue to send transactional messages necessary to operate your membership or event registration.
6. User Content and Conduct
6.1 User Content
You may have the opportunity to post comments, articles, profiles, questions, or other materials ("User Content") on the Site, our blog, community platforms, or event platforms. You retain ownership of your User Content. By submitting User Content, you grant SPA a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, publicly display, and create derivative works of your User Content in connection with operating, promoting, and improving the Services and SPA's mission. This license survives termination of your use of the Services with respect to User Content already submitted.
You represent and warrant that you own or have the necessary rights to your User Content, and that your User Content does not infringe any third-party rights or violate any law.
6.2 Prohibited Conduct
You agree not to:
Use the Services in any way that violates applicable law or regulation.
Post content that is defamatory, harassing, hateful, discriminatory, threatening, obscene, or otherwise objectionable.
Misrepresent your identity, affiliation, or qualifications.
Upload viruses, malware, or other harmful code.
Attempt to gain unauthorized access to the Services, other accounts, or our systems.
Scrape, harvest, or otherwise collect data about other users without their consent.
Use the Services to send spam or unsolicited communications.
Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services.
Use the Services for commercial purposes unrelated to SPA's mission without our written permission.
Interfere with the security, integrity, or availability of the Services.
6.3 Enforcement
We may, but are not obligated to, monitor User Content. We may remove, edit, or refuse to post any User Content, and suspend or terminate access to the Services, at our discretion and without notice. We are not liable for User Content posted by you or any other user.
7. Code of Conduct
SPA is committed to providing a welcoming, inclusive, and harassment-free environment for everyone, regardless of background or identity. By using the Services and participating in SPA programs, you agree to:
Treat others with respect and professionalism.
Refrain from harassment, intimidation, or discrimination.
Respect the confidentiality of information shared in member or program contexts.
Disclose conflicts of interest where relevant.
Follow any specific event or program code of conduct.
Violations may result in removal from events, suspension or termination of membership, and other remedies SPA deems appropriate.
8. Intellectual Property
8.1 SPA Content
All content on the Site that is not User Content—including text, graphics, logos, images, videos, and software—is owned by SPA or its licensors and is protected by copyright, trademark, and other laws. "The Society for People Analytics," "SPA," and related logos are trademarks of SPA.
8.2 Limited License to You
Subject to your compliance with these Terms, SPA grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes and for purposes consistent with SPA's mission. You may not copy, modify, distribute, sell, lease, or create derivative works of any portion of the Services without our prior written permission.
8.3 Feedback
If you submit suggestions, ideas, or feedback about the Services, you grant SPA the right to use them without restriction or compensation.
9. Third-Party Services and Links
The Services may integrate with or link to third-party services (such as payment processors, community platforms, event registration platforms, and mentoring platforms). Your use of those services is governed by their own terms and privacy policies. SPA is not responsible for third-party services and does not endorse them merely by linking to them.
10. Disclaimers
THE SERVICES, ALL CONTENT, AND ALL PROGRAMS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, SPA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT. SPA CONTENT, INCLUDING BLOG POSTS, RESEARCH, AND EDUCATIONAL MATERIALS, IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND IS NOT LEGAL, TAX, FINANCIAL, OR PROFESSIONAL ADVICE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPA, ITS DIRECTORS, OFFICERS, BOARD MEMBERS, VOLUNTEERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHER LEGAL THEORY, AND WHETHER OR NOT SPA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL SPA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SPA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless SPA, its directors, officers, board members, volunteers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13.2 Informal Resolution
Before filing any formal claim, you agree to attempt to resolve the dispute informally by contacting us at admin@societypeopleanalytics.org. We will attempt in good faith to resolve the issue within 60 days.
13.3 Venue
Any claim not resolved informally must be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts. You and SPA waive any right to a jury trial to the fullest extent permitted by law.
13.4 Time Limit
Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arose; otherwise, it is permanently barred.
14. Changes to the Terms or Services
We may modify these Terms at any time by posting an updated version on the Site and updating the "Last Updated" date. Material changes will take effect 30 days after posting, except where a shorter period is required for legal or security reasons. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
We may also modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
15. General Provisions
Entire agreement: these Terms, together with the Privacy Policy and any event- or program-specific terms, constitute the entire agreement between you and SPA regarding the Services.
Severability: if any provision is held unenforceable, the remaining provisions remain in full force and effect.
No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or transfer of assets.
Notices: we may provide notices to you by email or by posting on the Site. You may send notices to us at the address below.
Force majeure: SPA is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, acts of war, terrorism, civil unrest, pandemics, government action, labor disputes, internet or utility outages, or supplier failures.
Survival: provisions that by their nature should survive termination (including Sections 6.1, 8, 10, 11, 12, 13, and 15) will survive.
